Client Service Agreement

Welcome to JR Digital. This Client Service Agreement sets out the terms and conditions under which we provide website development, digital services, hosting, support, and other related services.
By purchasing any services from JR Digital - whether via Stripe Checkout, signed form, email confirmation, or in-person agreement - you agree to be bound by this Agreement.
This Agreement applies to paying clients and service customers. For general website use, please see our Website Terms of Use. For how we handle personal data, please see our Privacy Policy.
1. About Us

2. Services Covered by This Agreement
This Agreement applies to the services we provide, including (where agreed):
- Website development — including personal, business, e-commerce, non-profit, and custom website projects, plus all associated add-ons
- Branding & logo design — including logo packages and related add-ons such as social media packs and business card design
- Cloud Solutions — Microsoft 365 setup and configuration, including email, OneDrive, Teams, and related services
- Data analytics — including Google Analytics setup, Looker Studio dashboards, monthly reporting plans, and analytics add-ons
- Hosting — on Microsoft Azure infrastructure, where applicable
- Monthly and hybrid payment plans — for website and analytics services
- Technical support plans — if purchased separately
- Any additional work agreed in writing between you and JR Digital
Custom app development is also covered if explicitly agreed in writing. Service-specific terms for Branding, Cloud Solutions, and Data Analytics are set out in Section 9.
3. Payment Models
We offer the following payment options. The option selected will be confirmed in writing before work begins.
For one-time services (such as Branding & Logo Design and Cloud Solutions setup), the Full-Payment Model applies by default unless otherwise agreed. For recurring services (such as monthly analytics plans), the Monthly Payment Plan and its associated minimum terms apply.
Pricing displayed on our website and in the project form is indicative only. All final prices, deposits, and payment schedules are confirmed in writing before work commences. Once confirmed in writing, agreed prices remain fixed for the duration of the agreed scope and will not change mid-project.
3.1 Full-Payment Model
- 20% deposit upfront
- 80% payment on the agreed completion or go-live date
- After full payment, you own all deliverables produced (subject to the service-specific IP terms in Section 9)
- Ongoing maintenance or support continues only if purchased separately
- For website projects, you may request a copy of the source code at any time after full payment
3.2 Monthly Payment Plan
- You pay one month’s fee upfront as the deposit
- Minimum contract term: 12 months
- Stopping payment early does not cancel what you owe
- If cancelled early, you must pay the remaining balance of the 12-month minimum
- After the current paid month ends, service ends and the site may be taken offline
- You do not own the source code unless you buy it out
- Code may be deleted after a 30-day grace period if payments stop
3.3 Hybrid Payment Plan
- Works the same as the Monthly Payment Plan
- Except the deposit is larger (for example, 20% plus reduced monthly fees)
- You do not own the source code until you buy it outright
3.4 Payment Method
All payments must be made via Stripe.
3.5 Late Payments
- After 30 days of non-payment, the site may be disabled and code may be permanently deleted
- Resuming payments restores service only if the site and code still exist
- No additional late fees are charged unless otherwise agreed in writing
4. Deposits & Refunds
4.1 Deposit Refund Window
- Deposits are fully refundable for 7 days after payment
- After 7 days, the deposit becomes non-refundable
4.2 Refunds After Delivery or Go-Live
Once a service milestone has been reached, no refunds are provided regardless of personal preference or change of mind. The relevant milestone per service is:
- Website development: after the agreed go-live date
- Branding & logo design: after the first set of initial logo concepts has been delivered
- Cloud Solutions: after the Microsoft 365 setup has been completed and the handover call conducted
- Data analytics: after the initial dashboard or setup has been delivered
After delivery, you may use any remaining revision credits (where applicable) or pay for additional changes.
4.3 Monthly & Hybrid Cancellations
- You may cancel at any time
- You still owe the remaining balance of the 12-month minimum
- Your website remains live until the end of the current paid period
- After that, service ends and the site may be disabled
5. Project Scope & Revisions
To prevent scope creep and unfair demands, revisions are limited as follows.
5.1 Included Revisions — Website Development
- 1 Major Revision (structural changes, new designs, large section reworks)
- 5 Minor Revisions (colour changes, fonts, small tweaks)
Revision allowances for branding and other services are set out in Sections 5.3 and 9. Cloud Solutions and Data Analytics do not include a formal revision allowance as these are configuration-based services.
5.2 Revision Pricing — Website Development
- Major revision: £50 each
- Minor revision: £10 each
5.3 Revision Pricing — Branding & Logo Design
- Additional logo concept: £20 each
- Additional major revision: £10 each
- Additional minor revision: £5 each
5.4 Out-of-Scope Work
Out-of-scope work includes (but is not limited to):
- New pages
- Redesigns requested after the first draft
- New features not originally agreed
- Additional API integrations
Out-of-scope work is charged separately at agreed rates.
5.5 Scope Must Be Agreed Before Work Starts
A clear written project outline will be agreed before development begins.
6. Client Responsibilities
To keep the project on schedule, you agree to:
- Confirm that you are at least 18 years of age, or — if acting on behalf of a business or organisation — that you are duly authorised to enter into contracts on its behalf
- Provide required content promptly (logos, text, branding, logins, and other materials)
- Respond to communications within a reasonable timeframe
- Ensure you have lawful rights to all materials you provide
If you fail to respond for 7 consecutive days, development pauses automatically. If you do not respond for 30 days, your project is considered abandoned and may be deleted. A new deposit will be required to restart.
7. Ownership & Intellectual Property
7.1 Full-Payment Clients
- You own all code, files, and intellectual property upon full payment
- You may request source code at any time after completion
- JR Digital retains no ownership of the delivered work once fully paid
7.2 Monthly/Hybrid Clients
- You do not own the website or source code
- You are licensing the website for the duration of your payments
- If you stop paying, we may disable the site, delete the code after 30 days, and terminate the Agreement for breach
7.3 Buying the Code
Monthly/hybrid clients may request to buy out the source code for a custom price.
7.4 Portfolio Rights
We may display screenshots, links, and project details in our portfolio unless you opt out in writing.
8. Hosting, Uptime & Technical Support
8.1 Hosting
Sites are hosted on Microsoft Azure and are subject to Azure’s performance and uptime conditions.
8.2 Uptime Expectations
We cannot guarantee absolute uptime. Hosting availability is influenced by Microsoft Azure and other third-party services.
8.3 Downtime Compensation
If your website is down for an extended period, you may be eligible for compensation, determined on a case-by-case basis. We are not responsible for loss of revenue caused by downtime.
8.4 Maintenance
Included maintenance covers:
- Security fixes
- Bug fixes
- Major performance issues
Additional feature changes require a support plan or a paid request.
8.5 Support Response Time
You will receive a response within 24 hours. Fixes may take longer depending on complexity.
9. Service-Specific Terms
The following terms apply in addition to the general terms above, depending on the service you have purchased.
9.1 Branding & Logo Design
Each logo package includes 3 initial concepts, 1 major revision, and 3 minor revisions as standard. The following additional terms apply:
- Unused and rejected logo concepts remain the intellectual property of JR Digital and are not transferred to you
- You own only the final approved design, transferred to you upon full payment
- If all 3 initial concepts are rejected, additional concepts are available at £20 each before further revisions are considered
- JR Digital may display all produced concepts (including unused ones) in our portfolio unless you opt out in writing
- Physical production costs (such as business card printing and shipping) are not included and remain your responsibility
9.2 Cloud Solutions (Microsoft 365 Setup)
Cloud Solutions is a one-time setup service. The following terms apply:
- The Microsoft 365 tenant is created in your name and under your sole control — you are and remain the tenant owner
- JR Digital may briefly handle configuration credentials during the setup process; these are not stored by JR Digital after setup is complete
- Microsoft 365 licences and all ongoing subscription costs are purchased and billed directly by Microsoft — JR Digital has no control over Microsoft's pricing, plan availability, or billing
- Domain registration and transfer costs are not included in the setup fee
- 30 days of post-setup support is included; after this period, any further assistance constitutes a new paid engagement
- JR Digital is not liable for data loss, outages, service disruptions, or any other issues caused by Microsoft services or infrastructure
9.3 Data Analytics
The following terms apply to all analytics plans and add-ons:
- Monthly analytics plans (Essential, Growth, and Custom Tracking) are subject to the same 12-month minimum contract term as monthly website plans (see Section 3.2)
- If cancelled before the end of the 12-month minimum, the remaining balance of the minimum term is still owed
- Upon cancellation, you retain full ownership of and access to your Google Analytics (GA4) account and Looker Studio dashboard; JR Digital's access to those accounts is revoked at cancellation
- All analytics service fees cover JR Digital's work in full — no additional third-party tool subscriptions are required from you
- Analytics data is dependent on visitor consent; JR Digital is not responsible for reduced or incomplete data caused by users declining cookies
- For non-JR Digital websites: you are solely responsible for ensuring your cookie consent banner, privacy policy, and data handling practices comply with applicable regulations (including UK GDPR). JR Digital cannot manage consent or compliance on websites we do not host
10. Legal Protections
10.1 Liability Limit
Our total liability is strictly limited to the total amount you paid us.
10.2 No Liability for Indirect Loss
We are not responsible for:
- Loss of revenue
- Loss of sales
- Loss of data
- Business interruption
- Third-party service failures
- Azure outages
10.3 Indemnity
You are fully responsible for any content you provide. You agree to indemnify JR Digital against any claims arising from copyright infringement, illegal content, misuse of the website, or GDPR violations caused by your actions.
10.4 Legal Jurisdiction
All disputes are governed by the laws of England and Wales, under the jurisdiction of the courts of England and Wales.
10.5 Force Majeure
JR Digital shall not be liable for any delay or failure to deliver services caused by events beyond our reasonable control, including but not limited to illness or incapacity, technical infrastructure failures, third-party service outages (such as Microsoft Azure), internet disruptions, natural disasters, or other unforeseen circumstances. In such cases, we will notify you as promptly as reasonably practicable and take reasonable steps to minimise disruption and resume delivery as soon as possible. Where a delay is significant and caused by circumstances beyond our control, affected timelines will be extended accordingly without penalty.
11. Communication
11.1 Contact Methods

11.2 Availability
- Clients may contact us 24/7
- Work and fixes are typically performed during business hours
- Responses are guaranteed within 24 hours
12. Termination
12.1 Client-Led Termination
You may terminate at any time. If you are on a monthly plan, you still owe remaining minimum payments. Your website will remain live until the end of the current paid month.
12.2 JR Digital Termination
We may terminate immediately if:
- You use the website for illegal activity
- You behave abusively towards staff
- You fail to make required payments
For general misuse or breach of terms, we may terminate with 7 days’ notice.
12.3 Post-Termination
After termination:
- The website may be disabled
- The source code may be deleted
- Domain settings will be returned to you (if applicable)
A 48-hour grace period may be provided at our discretion.
13. Acceptance of Agreement
By purchasing services via Stripe Checkout, signing a form, or otherwise confirming acceptance, you agree to this Agreement.
